These Terms of Use ("Terms") govern your access to and use of heath-is-wealth.com (the "Site") and any related products, tools, or services provided by Annapurna Influence LLC ("Heath is Wealth," "we," "us," or "our"), a marketing company that generates content on behalf of brands (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and have the authority to enter into these Terms on behalf of yourself or the business you represent, to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. Description of Services

Heath is Wealth provides marketing and content generation services on behalf of brands, which may include the use of artificial intelligence and machine learning tools to help produce content outputs based on information and materials you provide (such as your name, contact details, and business information). We may add, modify, or discontinue any aspect of the Services at any time without liability to you.

3. Accounts

If you create an account to access the Services, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Services or other users.

4. Client Information and Content Submissions

When you submit business information, brand assets, briefs, or other materials ("Client Materials") for us to use in generating marketing content on your behalf:

  • You represent and warrant that you own or have the necessary rights to submit the Client Materials and to authorize us to use them as described in these Terms and our Privacy Policy
  • You grant Heath is Wealth a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and analyze the Client Materials solely for the purpose of providing the Services, including processing by AI/machine learning tools as described in our Privacy Policy
  • You are responsible for ensuring that any Client Materials you submit do not infringe the rights of any third party or violate any applicable law

5. AI-Generated Content

Some or all of the content we provide may be generated with the assistance of artificial intelligence tools. You acknowledge and agree that:

  • AI-generated content may be inaccurate, incomplete, or require human review before publication or use
  • You are responsible for reviewing, editing, and approving any AI-assisted content before it is used, published, or distributed
  • We do not guarantee that AI-generated content will be free of errors, biases, or similarities to third-party content

Ownership of final, delivered content is governed by the applicable service agreement or statement of work between you and Heath is Wealth.

6. Payments

If the Services include paid offerings, payments are processed through our third-party payment processor, Stripe. By providing payment information, you represent that you are authorized to use the applicable payment method, and you agree to pay all fees and charges associated with your use of the Services. All fees are non-refundable except as required by law or as otherwise stated in a separate agreement between you and Heath is Wealth.

7. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Submit Client Materials that are defamatory, obscene, infringing, or that violate the rights of any third party
  • Attempt to gain unauthorized access to the Services, our systems, or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to generate content that is deceptive, misleading, or intended to defraud consumers
  • Reverse engineer, decompile, or attempt to extract the source code of any software associated with the Services, except as permitted by law

8. Intellectual Property

8.1 Our Intellectual Property

The Site, and all content, features, and functionality provided by Heath is Wealth (excluding Client Materials and final deliverables governed by a separate agreement), including text, graphics, logos, and software, are owned by Annapurna Influence LLC or our licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

8.2 Your Content

You retain ownership of the Client Materials you submit. By submitting Client Materials, you grant us the license described in Section 4 above.

9. Third-Party Services

The Services may integrate with or rely on third-party tools, platforms, or AI providers to deliver content generation services. We are not responsible for the practices, content, or availability of third-party services, and your use of such services may be subject to their own terms and privacy policies.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ANNAPURNA INFLUENCE LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE 6 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Annapurna Influence LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Client Materials; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, 12, and 15) will survive.

14. Changes to the Services and Terms

We may modify these Terms at any time. We will post the updated Terms on this page with a revised "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue any part of the Services at any time.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Texas, and you consent to the exclusive jurisdiction of those courts.

16. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements or statements of work between you and Heath is Wealth, constitute the entire agreement between you and Heath is Wealth regarding the Services and supersede any prior agreements.
